Tool Sale and Use Liability Waiver, Assumption of Risk, and Disclaimer

  1. Definitions. For purposes of this waiver (this "Waiver"): 1. "Company" means TTB Innovations, LLC; a North Carolina Limited Liability Company. 2. "Tool" means the tool(s) being commonly known as the “RatchetBuddy”, accessory(ies), component(s), replacement part(s), and any related packaging, instructions, manuals, warnings, labels, and documentation sold or provided by Company. 3. "User" means the purchaser, owner, operator, borrower, recipient, or any person who uses, handles, installs, assembles, maintains, transports, stores, or is otherwise exposed to the Tool. 4. "Claims" means any and all claims, demands, causes of action, damages, losses, liabilities, penalties, fines, costs, and expenses (including reasonable attorneys' fees and costs), whether in contract, tort, statute, or otherwise, and whether known or unknown, suspected or unsuspected.

  2. Acknowledgment; Voluntary Use. User acknowledges and agrees that: 1. the Tool is capable of causing property damage, personal injury, serious bodily injury, or death if misused, used without proper training, used without appropriate protective equipment, used in an unsafe environment, modified, poorly maintained, or used contrary to instructions or warnings; 2. User has had the opportunity to review available instructions and warnings, and ask questions before purchase or use; and 3. User's purchase and/or use of the Tool is voluntary.

  3. Assumption of Risk. By purchase or use of this tool the User knowingly and voluntarily assumes all risks, hazards, and dangers arising from or relating to the purchase, possession, transportation, storage, handling, installation, assembly, operation, maintenance, repair, or use of the Tool, including risks arising from: 1. improper or unintended use; 2. failure to follow instructions, warnings, or applicable safety standards; 3. use without appropriate personal protective equipment; 4. use by minors or by persons lacking adequate training, judgment, or physical capability; 5. use in hazardous conditions (including wet, dusty, flammable, explosive, confined, elevated, or otherwise unsafe environments); 6. normal wear and tear, misuse, abuse, neglect, or inadequate maintenance; 7. modification, alteration, or use with non-approved parts or accessories; and 8. third-party acts or omissions, including the acts or omissions of other users or bystanders.

  4. Release and Waiver of Liability. To the fullest extent permitted by applicable law, User hereby irrevocably releases, waives, and discharges Company from any and all Claims arising out of or relating to the Tool or its sale, provision, instructions, warnings, labeling, packaging, marketing, selection, delivery, installation guidance, or use, including Claims for personal injury, death, property damage, economic loss, or consequential damages, whether arising from negligence or otherwise; provided, however, that this Waiver does not apply to the extent prohibited by law and does not waive liability that cannot be waived under applicable law.

  5. As-Is; Disclaimer of Warranties. Except as expressly provided in a written warranty (if any) issued by Company with the Tool, User acknowledges and agrees that the Tool and any related information or documentation are provided as-is and as available, and User assumes all risk and liability arising from or relating to the Tool and its selection and use. Company makes no representations or warranties, express or implied, with respect to the Tool, and Company hereby disclaims any and all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement, to the maximum extent permitted by applicable law.

  6. User Responsibilities and Safety Covenants. User agrees that User will: 1. read and follow all instructions, warnings, and labels; 2. use the Tool only for its intended purpose and within stated ratings and limitations; 3. use appropriate personal protective equipment and safety devices; 4. ensure the Tool is used only by persons who are competent, trained, and legally permitted to use it; 5. inspect the Tool before each use and discontinue use if the Tool is damaged, malfunctioning, or unsafe; 6. maintain the Tool in accordance with recommended procedures; and 7. comply with all applicable laws, regulations, and safety standards relating to the Tool and its use.

  7. Limitation of Remedies; Exclusion of Certain Damages. To the fullest extent permitted by applicable law: 1. Company shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Tool or this Waiver, including loss of profits, loss of use, business interruption, or replacement costs; and 2. User's exclusive remedy, if any, shall be limited to the remedies expressly stated in any written warranty issued by Company with the Tool, if applicable.

  8. Indemnity. To the fullest extent permitted by applicable law, User shall indemnify, defend, and hold harmless Company from and against any and all Claims arising out of or relating to: 1. User's purchase, possession, transportation, storage, handling, installation, assembly, operation, maintenance, repair, or use of the Tool; 2. any breach of this Waiver by User; 3. any misuse, modification, or unauthorized repair of the Tool by User or any third party; and 4. any Claim brought by any third party (including any bystander, recipient, borrower, or subsequent purchaser) arising from or relating to the Tool while in User's possession or control or arising from User's acts or omissions.

  9. Transfer; Notice to Subsequent Users. User agrees that if User sells, lends, gives, or otherwise transfers the Tool to any other person, User will provide that person with all instructions and warnings accompanying the Tool and will require that person to assume the risks of use. This Waiver is intended to benefit Company with respect to the Tool's use by User and does not create any obligation for Company to monitor or control subsequent transfers or uses.

  10. Severability; Governing Law; Acknowledgment. 1. If any provision of this Waiver is held invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law. 2. This Waiver shall be governed by the laws of the State of North Carolina, United States, without regard to conflict-of-laws rules, unless a different governing law is required by applicable consumer protection law. 3. By purchasing, accepting delivery of, opening the packaging of, clicking acceptance (if applicable), and/or using the Tool, User acknowledges that User has read, understands, and agrees to be bound by this Waiver.

Limited Lifetime Warranty

TTB Innovations, LLC warrants that the RATCHETBUDDY (trademark) will be free from defects in materials and workmanship for the lifetime of the product under normal and intended use.

● Coverage: This warranty strictly covers manufacturing defects only 

● Exclusions: This warranty does not cover:

  1.  Normal wear and tear.
  2.  Damage resulting from improper use, abuse, or use outside of the tool's intended
    purpose. 
  3. Damage caused by accidents, disasters, or unauthorized modifications or
    alterations.

Giveaways and Company Promotional Use.

The Limited Lifetime Warranty does not apply to products distributed at no charge as giveaways, contest prizes, samples, or other promotional items. It also does not cover products owned or used by TTB Innovations, LLC for demonstrations, marketing, testing, display, or other company promotional purposes.

● Remedy: In the event of a valid warranty claim, TTB Innovations, LLC will, at its sole discretion, either repair or replace the defective product.
● Claims: To initiate a warranty claim, the original purchaser must contact customer service and provide valid proof of purchase.

Accepted payment methods include Visa, MasterCard, Discover, American Express, Shop Pay and Shop Pay Installments, Apple Pay, Google Pay and PayPal limited to POS purchases only. Payment required upon order.
